FirstCapital recently advised Valamis, a global leader in digital learning technologies and workforce development, on the sale of a majority stake to Nordic-focused private equity house Adelis.

Based in Finland, with offices in seven countries, Valamis has a successful services business in Northern Europe, and a world class SaaS Learning Experience Platform (“LXP”) with a global enterprise customer base. The management team sought a partner to help accelerate its international expansion and to drive the growth of its software product.

Valamis selected FirstCapital as they needed experienced advisors with a global network of investors and a track record of successfully working with high growth SaaS companies, to deliver the optimal outcome in a deal.

FirstCapital worked closely with the Valamis management team to articulate the opportunity, backed up by a robust set of marketing materials and a detailed financial model. Bids were secured from a number of high quality investors following a competitive process, enabling Valamis to choose the best fit partner for the next stage of growth.  Adelis acquired shares from certain existing shareholders and invested growth equity in the company. Current management-owners will continue in their roles, retaining significant ownership and benefitting from Adelis’s knowledge and resources to build on their robust foundations for global expansion.
